Terms & Conditions

These Terms and Conditions govern the provision of administrative services by The Admin Agency to its clients. By engaging our services, you agree to these terms.
1. About Us
The Admin Agency Limited is a company registered in New Zealand, solely directed by Nikita Saunders and based in Cambridge. We provide tailored administrative support services to businesses on a monthly retainer basis.
2. Services
The specific services provided will be outlined in your agreed service plan, confirmed at the outset of our engagement following a discovery session. Services may include but are not limited to inbox management, invoicing, Xero reconciliation, payroll support, and operational administration.
The Admin Agency reserves the right to decline or adjust services that fall outside the agreed scope. Any changes to scope will be discussed and agreed in writing before implementation.
3. Fees and Payment
• Services are provided on a monthly retainer basis, billed as weekly payments for cashflow convenience
• Services are invoiced weekly at the agreed fixed amount, issued on the same day each week and payable on that date
• All fees are exclusive of GST unless otherwise stated
• Late payments may result in suspension of services
• Retainer fees are non-refundable once a month has commenced
4. Third-Party Software and Expenses
• Any third-party software subscriptions required to deliver services (such as Xero, payroll platforms, or cloud storage) are the responsibility of the client and are not included in the retainer fee
• The Admin Agency will advise if a particular subscription or tool is required before commencing work that depends on it
• The Admin Agency will not be liable for any third-party subscription costs, price changes, or service interruptions
• Where a client does not have a required tool in place, work in that area may be delayed until access is established
5. Confidentiality
The Admin Agency understands the sensitive nature of the information shared in the course of providing services. We treat all client information as strictly confidential and will not disclose it to any third party without your consent, except where required by law.
This confidentiality obligation continues after the termination of our working relationship.
6. Availability and Leave
The Admin Agency Limited is operated by a sole director. Clients should be aware of the following regarding availability:
• The Admin Agency Limited takes approximately four weeks of leave per year, primarily over the Christmas and New Year period
• This planned leave is already factored into the monthly retainer fee and is pro-rated to 48 weeks per year — invoices continue as normal during this period
• A minimum of four weeks written notice will be given for any planned leave
Unplanned Absence
• In the event of unexpected illness or emergency, clients will be notified on the same day where possible
• Absences of three days or less will be managed with no impact to invoicing — any outstanding work will be completed upon return
• Where an unplanned absence exceeds three consecutive days, invoicing will be paused for the duration of the excess period and any outstanding work will be prioritised upon return
• The Admin Agency Limited cannot guarantee continuity of service during unplanned absences but will make every reasonable effort to minimise disruption
7. Client Responsibilities
To enable us to deliver services effectively, clients agree to:
• Provide accurate, timely, and complete information as reasonably required
• Grant appropriate access to systems, tools, and accounts as needed
• Respond to queries in a reasonable timeframe to avoid delays in service delivery
8. Intellectual Property
Any systems, templates, or processes developed by The Admin Agency during the course of our engagement remain the intellectual property of The Admin Agency unless otherwise agreed in writing.
9. Limitation of Liability
The Admin Agency will perform services with reasonable care and skill. However, we are not liable for any indirect, consequential, or incidental loss arising from the use of our services, including but not limited to loss of revenue, data, or business opportunity.
Our total liability in any circumstance is limited to the fees paid in the month in which the issue arose.
10. Termination
• Either party may terminate the engagement by giving 30 days written notice
• The Admin Agency reserves the right to terminate immediately in cases of non-payment, breach of these terms, or conduct that makes the working relationship untenable
• Upon termination, any outstanding invoices become immediately payable
11. Governing Law
These Terms and Conditions are governed by the laws of New Zealand. Any disputes will be subject to the jurisdiction of the New Zealand courts.
12. Changes to These Terms
We may update these Terms and Conditions from time to time. You will be notified of any material changes in writing. Continued engagement with our services following notice of changes constitutes acceptance of the updated terms.
